Terms and Conditions

1. Introduction

Welcome to DESIGNSTUDIO ("Company", "we", "our", "us"). These Terms and Conditions ("Terms", "Terms and Conditions") govern your use of our website located at designstudio.co (the "Service") and any related services offered by DESIGNSTUDIO.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Use of Our Service

The Service and its original content, features, and functionality are and will remain the exclusive property of DESIGNSTUDIO and its licensors. The Service is protected by copyright, trademark, and other laws of both Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of DESIGNSTUDIO.

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

3. Projects and Services

All design projects and creative services provided by DESIGNSTUDIO are subject to a separate contract agreement. These Terms and Conditions are supplementary to any project-specific agreements.

For all design projects, unless otherwise specified in a written agreement:

• A 50% non-refundable deposit is required before work begins.
• Final deliverables will be provided upon receipt of full payment.
• Projects may be subject to revision limits as specified in individual project agreements.
• DESIGNSTUDIO retains the right to display all completed work in our portfolio unless a confidentiality agreement has been signed.

4. Intellectual Property

Upon completion of a project and receipt of full payment, the client will own the rights to the final deliverables as specified in the project agreement, with the following exceptions:

• DESIGNSTUDIO retains ownership of all preliminary designs and concepts not selected for final production.
• DESIGNSTUDIO retains the right to display all completed work in our portfolio, website, social media, and other promotional materials unless explicitly prohibited in a separate agreement.
• Custom typefaces, proprietary code, and other elements created by DESIGNSTUDIO may be subject to separate licensing terms.

You acknowledge that any feedback, suggestions, ideas, or other information provided by you regarding the Service ("Feedback") may be used by us without any obligation to compensate you.

5. Content You Provide

When you provide content to us for use in design projects, you retain ownership of that content. However, you grant us a license to use, reproduce, adapt, modify, and process this content as needed to provide our services to you.

You represent and warrant that:

• You own or have the necessary rights to the content you provide to us.
• The content does not infringe on any third party's intellectual property rights.
• The content does not contain material that is defamatory, obscene, or otherwise illegal.

6. Links To Other Web Sites

Our Service may contain links to third-party websites or services that are not owned or controlled by DESIGNSTUDIO.

DESIGNSTUDIO has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that DESIGNSTUDIO shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

7. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Limitation of Liability

In no event shall DESIGNSTUDIO, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use or alteration of your transmissions or content.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Saskatchewan, Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

10. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
